Terms of Use
The National Association for Healthcare Quality® (“NAHQ®,” “we,” “us,” or “our”) welcomes you to our website. The following Terms of Use, and any documents they incorporate by reference, including our Privacy Policy (“Terms”), govern your access to and use of our website, including any microsites (collectively, the “NAHQ Website”). These Terms also govern your access to and use of our products and services, including but not limited to courses, events, memberships, and CPHQ examination registrations (collectively, “Educational Resources”).
NAHQ offers a wide range of Educational Resources. Depending on the specific Educational Resource that you intend to access and use, additional terms may apply. Included in these Terms are additional terms and conditions applicable to you if you intend to access, use, and/or purchase a registration for the CPHQ examination, a NAHQ event like NAHQ next, or the Workforce AcceleratorTM.
Please read these Terms carefully before you access and use either the NAHQ Website or the Educational Resources. By clicking “I agree,” or otherwise continuing to use the NAHQ Website, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the NAHQ Website or the Educational Resources.
1. Changes to these Terms
We are entitled to revise and update these Terms from time to time in our discretion. All changes are effective immediately when we post them and apply to all access and use of the NAHQ Website and the Educational Resources thereafter. Your continued use of the NAHQ Website and the Educational Resources following the posting of revised Terms means you accept and agree to the changes. You are expected to check this page each time you access the NAHQ Website or Educational Resources to ensure you are aware of any changes.
2. Accessing Educational Resources
We reserve the right to withdraw or amend the NAHQ Website or the Educational Resources in our discretion without notice. We will not be liable if, for any reason, all or any part of the NAHQ Website or Educational Resources are unavailable at any time or for any period of time. Event dates, times, and other details may be changed in our discretion. From time to time, we may restrict your access to some parts or all of the NAHQ Website or Educational Resources. In addition, your access and use of a given Educational Resource may be pursuant to an agreement between NAHQ and your employer or an organization with which you or your employer is affiliated (each a “Sponsor”). If the agreement between NAHQ and your Sponsor ends, then your access and use of the associated Educational Resource will also end.
You are responsible for making all arrangements necessary for you to securely access and use the NAHQ Website and any Educational Resources you’ve purchased or we’ve otherwise permitted you to access and use. WITHOUT LIMITING THE FOREGOING, NAHQ IS NOT LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUS, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, OR DATA DUE TO YOUR USE OF THE NAHQ WEBSITE OR THE EDUCATIONAL RESOURCES.
You must treat your username and password as confidential, and you must not disclose it to any other individual or entity. You also acknowledge your account is personal to you and you agree not to provide any other person or entity with access to the Educational Resources. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure you log off of your account when you are done using the Educational Resources. You should use caution when accessing your account from a public or shared computer, or via an unsecured network such as a public Wi-Fi hotspot, so others are not able to view or record your password or other personal information. We have the right to disable any username or password, whether chosen by you or provided by us, at any time, in our discretion, for any or no reason, including if, in our opinion, you violated any provision of these Terms.
3. Intellectual Property Rights; Event Recordings; Publicity Release
The Educational Resources and their contents, features, and functionality (including all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) are owned by NAHQ, its licensors, or other providers of such material and are protected by United States copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. These Terms permit you to access and use those limited Educational Resources that you’ve purchased or to which we otherwise provide you access for your personal, non-commercial use only. You may not record, reproduce, distribute, modify, create derivative works based on, publicly display, publicly perform, download, store, or transmit any of the Educational Resources, except with respect to Educational Resources available to you online, you may do the following:
- Your computer may temporarily store copies of the Educational Resources in random-access memory (RAM), incidental to you accessing those materials;
- You may store files that are automatically cached by your web browser for display enhancement purposes.
In addition, you may not delete or alter any copyright, trademark, or other proprietary rights notices from the NAHQ Website or the Educational Resources. No right, title, or interest in or to the NAHQ Website or the Educational Resources is assigned or transferred to you, and all rights not expressly granted to you under these Terms are reserved by NAHQ. Any use of the Educational Resources not expressly permitted by these Terms is prohibited.
Trademarks
NAHQ’s names and logos, product and service names and logos, and all related designs and slogans are trademarks of NAHQ (“NAHQ Marks”). You may not use the NAHQ Marks without NAHQ’s prior written consent. For additional information regarding NAHQ’s Marks, see NAHQ Trademarks.
Event Recordings
Events associated with NAHQ that you may attend, including in-person and online events, such as NAHQ next and CPHQ review courses (collectively, “Events”), may be photographed, recorded, or filmed. NAHQ has the exclusive right to photograph, record, and film, in any media now known or hereafter created (collectively, “Recordings”) any Event. NAHQ is the exclusive owner of the Recordings and has the exclusive right to assign, transfer, reproduce, prepare derivative works from, modify, incorporate into other works, distribute, perform publicly, display publicly, transmit, broadcast, sell, and otherwise use and exploit the Recordings. You may not record any aspect of an Event without NAHQ’s prior written permission.
Publicity Release
You hereby grant NAHQ an unconditional, worldwide, fully transferable, fully sub-licensable, assignable, perpetual, non-terminable, exclusive, irrevocable, royalty-free right (but not the obligation) to photograph, record, digitize, film, reproduce, distribute, prepare derivative works based on, publicly perform, publicly display, and otherwise use your name, image, likeness, voice, and other personal characteristics as they may appear in the Recordings, in all formats and media now known or hereinafter created, for any purposes, including advertising, trade, and commercial purposes. You acknowledge NAHQ is the owner of the Recordings and you have no right to inspect or approve the Recordings or NAHQ’s use of the Recordings.
4. Prohibited Uses
You may use the NAHQ Website and Educational Resources only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to:
- Use the NAHQ Website or Educational Resources in any way that violates any applicable international, federal, state, or local law or regulation, including any laws regarding the export of data or software to and from the US or other countries.
- Impair the proper operation of the NAHQ Website or any network which is used to support or access the NAHQ Website.
- Use the NAHQ Website in any manner that could disable, overburden, damage, or impair the NAHQ Website or interfere with any other person’s use of the NAHQ Website, including their ability to engage in real-time activities through the NAHQ Website.
- Create derivative works based upon, publicly display, publicly perform, lease, license, rent, sell, or re-sell all or any part of the NAHQ Website’s or Educational Resource’s contents.
- Use the NAHQ Website or Educational Resources to develop or assist others with the development of goods or services or for competitive analysis.
- Use any robot, spider, or other automatic device, process, or means to access the NAHQ Website for any purpose, including monitoring or copying any of the material on the NAHQ Website.
- Use any manual process to monitor or copy any of the material on the NAHQ Website, or for any other purpose not expressly authorized in these Terms, without our prior written consent.
- Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the NAHQ Website, the servers on which the NAHQ Website is stored, or any server, computer, or database connected to the NAHQ Website.
- Attack the NAHQ Website via a denial-of-service attack or a distributed denial-of-service attack
5. User Contributions; Content Standards
The NAHQ Website may contain forums and other interactive features that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the NAHQ Website.
All User Contributions must comply with the Content Standards set out below in these Terms. Any User Contribution you post to the NAHQ Website will be considered non-confidential and non-proprietary. By providing any User Contribution on the NAHQ Website, you grant us, our licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material.
You represent and warrant that (i) you own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our licensees, successors, and assigns; and (ii) all of your User Contributions do and will comply with these Terms.
You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not NAHQ, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. In addition, we are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the NAHQ Website.
NAHQ does not endorse any opinions expressed by other users. We are not responsible for monitoring User Contributions, nor does NAHQ undertake editorial control of postings. NAHQ may edit or remove User Contributions in its sole discretion, but it is not obligated to do so.
We have the right to disclose your identity or other information about you to any third party who claims that your User Contribution violates their rights, including their intellectual property rights or their right to privacy. In addition, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the NAHQ Website. YOU WAIVE AND HOLD HARMLESS NAHQ FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY NAHQ AND ANY OF ITS AFFILIATES, LICENSEES, OR SERVICE PROVIDERS DURING OR TAKEN AS A RESULT OF INVESTIGATIONS BY NAHQ OR LAW ENFORCEMENT AUTHORITIES.
Content Standards
You agree: (i) your User Contributions will be non-commercial, educational in nature, and on topic; (ii) your User Contributions must not be defamatory, offensive, threatening, or include illegal materials; (iii) you will not impersonate any person or entity, including NAHQ or NAHQ’s personnel, or misrepresent an affiliation with any person or entity; (iv) you may not intentionally or unintentionally violate or encourage or assist anyone else to violate any local, state, or federal ordinance, statute, law, or regulation; (v) your contributions must not violate any person’s privacy rights; (vi) your User Contributions may not include material protected by copyright or other intellectual property rights without the owner’s permission; (vii) your User Contributions must not include any materials you do not possess a right to post under law or as a result of a fiduciary or contractual relationship, including as a result of a nondisclosure or confidentiality agreement; and (viii) you may not exchange non-public, competitively sensitive information on pricing, strategic plans, profit margins, or related subjects, and your User Contributions must not encourage or facilitate, either expressly or implicitly, to illegally restrict free trade.
6. Notice and Procedure for Making Claims of Copyright Infringement
Reporting Claims of Copyright Infringement
NAHQ will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any User Contributions accessible on or from the NAHQ Website infringe your copyright, you may request removal of those materials (or access to them) from the NAHQ Website by submitting written notification to our copyright agent designated below. In accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (“DMCA”), the written notice (each a “DMCA Notice”) must include the following information:
- Your physical or electronic signature.
- Your contact information (full name, mailing address, email address, and phone number).
- Identification of the copyrighted material that you claim has been infringed.
- Identification of the material on the NAHQ Website you claim infringes your copyright in a sufficiently precise manner to allow us to locate that material.
- A statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the DMCA Notice is accurate.
- A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

If you fail to comply with all the requirements of Section 512(c)(3) of the DMCA, your DMCA Notice may not be effective. Please be aware that if you knowingly misrepresent that material or activity on the NAHQ Website is infringing your copyright, you may be held liable for damages (including costs and attorneys’ fees) under Section 512(f) of the DMCA.
Counter Notification Procedures
If you believe material you posted to the NAHQ Website was removed or access to it was disabled by mistake or misidentification, you may file a counter notification to NAHQ (a “Counter Notice”) by submitting written notification to our copyright agent designated above. Pursuant to the DMCA, the Counter Notice must include:
- Your physical or electronic signature.
- Your contact information (full name, mailing address, email address, and phone number).
- Identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or disabled.
- A statement under perjury that you have a good faith belief that the material identified above was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled.
- A statement that you will consent to the jurisdiction of the Federal District Court for the district in which your address is located (or if you reside outside of the United States for any judicial district in which the NAHQ Website is found) and that you will accept service from the person (or an agent of that person) who provided NAHQ with the complaint at issue.
The DMCA allows us to restore the removed content if the party filing the original DMCA Notice does not file a court action against you within ten business days of receiving the copy of your Counter Notice. Please be aware that if you knowingly materially misrepresent that material or activity on the NAHQ Website was removed or disabled by mistake or misidentification, you may be held liable for damages (including costs and attorneys’ fees) under Section 512(f) of the DMCA.
7. Privacy Policy
NAHQ complies with its Privacy Policy in connection with all information you provide us through the NAHQ Website, including through the NAHQ Website’s interactive features. The Privacy Policy is subject to change as described therein. By accepting these Terms, you acknowledge you reviewed and accepted our Privacy Policy, and you consent to all action taken by us with respect to your personal information in compliance with the then-current version of our Privacy Policy.
8. Disclosure of Your Information
Without limiting NAHQ’s rights under its Privacy Policy, you hereby grant NAHQ permission to disclose all information NAHQ may have in its possession or control regarding your access to and use of the Educational Resources, including, as applicable to your Sponsor, such as:
- Whether you accepted the Terms;
- The dates you logged into the NAHQ Website;
- The dates you accessed and used a given Educational Resource, the duration of each use, and whether you started or completed the Educational Resource;
- Whether you are scheduled to take the CPHQ certification exam;
- Whether you passed the CPHQ certification exam and your exam score; and
- Whether you provided us Feedback regarding the Educational Resources.
9. Feedback
NAHQ welcomes your feedback. If you suggest changes or improvements to the NAHQ Website or the Educational Resources (collectively, “Feedback”), your Feedback is not confidential or proprietary. You hereby assign to us all right, title, and interest in, and we are free to use, without any attribution or compensation to you or any third party, your Feedback, for any purpose whatsoever, although we are not required to use your Feedback.

NAHQ is based in the State of Illinois in the United States. If you access or use the NAHQ Website outside of the United States, you do so at your own risk and, in addition to being responsible for compliance with these Terms, you are responsible for compliance with the laws of your jurisdiction.
12. Disclaimer; Indemnification; Limitation of Liability

THE NAHQ WEBSITE AND THE EDUCATIONAL RESOURCES ARE PROVIDED “AS-IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE.” YOUR USE OF THE NAHQ WEBSITE AND THE EDUCATIONAL RESOURCES, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE NAHQ WEBSITE, IS AT YOUR SOLE RISK. NAHQ MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE NAHQ WEBSITE OR THE EDUCATIONAL RESOURCES, AND DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND WITH RESPECT TO THE NAHQ WEBSITE AND THE EDUCATIONAL RESOURCES WHETHER EXPRESS, IMPLIED, OR STATUTORY TO THE FULLEST EXTENT POSSIBLE PURSUANT TO APPLICABLE LAW, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

Indemnification
You shall defend and indemnify NAHQ, and its directors, officers, employees, volunteers, agents, representatives, contractors, successors, and assigns (collectively, “NAHQ Persons”) against all losses, liabilities, claims, and actions, including, reasonable attorneys’ fees and other expenses (collectively, “Claims”) related to your: (i) acts or omissions; (ii) breach of these Terms; (iii) violation of applicable law; and/or (iv) access to or use of the Educational Resources. Despite this provision, you are not required to defend or indemnify a NAHQ Person for Claims caused by that NAHQ Person’s willful or wanton misconduct.
Limitation of Liability
NAHQ AND THE OTHER NAHQ PERSONS SHALL NOT BE LIABLE FOR ANY LOSS ARISING OUT OF OR RELATED TO THESE TERMS, THE NAHQ WEBSITE, YOUR ACCESS OR USE OR INABILITY TO ACCESS OR USE THE NAHQ WEBSITE, OR YOUR PERSONAL INFORMATION IN NAHQ’S POSSESSION OR CONTROL. TO THE EXTENT YOU MAY BE ENTITLED TO ANY RECOVERY RELATING TO THE EDUCATIONAL RESOURCES, THE MAXIMUM AGGREGATE LIABILITY FOR NAHQ AND THE OTHER NAHQ PERSONS IS LIMITED TO THE AMOUNT YOU PAID FOR THE EDUCATIONAL RESOURCE AT ISSUE, OR $25.00. IN ADDITION, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU ARE NOT ENTITLED TO RECOVER CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE FROM NAHQ OR THE OTHER NAHQ PERSONS. THIS SECTION STATES NAHQ’S AND THE OTHER NAHQ PERSONS’ MAXIMUM AGGREGATE LIABILITY AND YOUR EXCLUSIVE REMEDY FOR ANY CLAIM OR ACTION BROUGHT AGAINST NAHQ AND/OR THE OTHER NAHQ PERSONS BY YOU ARISING OUT OF OR RELATED TO THESE TERMS, THE DASHBOARD, YOUR ACCESS OR USE OR INABILITY TO ACCESS OR USE THE DASHBOARD, OR YOUR PERSONAL INFORMATION IN NAHQ’S POSSESSION OR CONTROL. THE FOREGOING LIMITATIONS APPLY: (I) EVEN IF THE DAMAGES WERE FORESEEABLE; (II) WHETHER OR NOT NAHQ WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (III) EVEN IF YOUR REMEDIES UNDER THESE TERMS FAIL THEIR ESSENTIAL PURPOSE; AND (IV) REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. YOU ACKNOWLEDGE THESE LIMITS ON LIABILITY STATED IN THIS SECTION ARE REASONABLE. THIS SECTION DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
13. Representations and Warranties
You represent and warrant that: (i) you have read, understand, and will abide by these Terms; (ii) you meet NAHQ’s eligibility requirements to access and use the Educational Resource that you are seeking to access and use; (iii) you are not subject to or located in a country subject to economic or other sanctions or trade embargos enforced by the United States of America, including the United States Treasury Department’s Office of Foreign Assets Control (OFAC); (iv) any information you’ve provided to NAHQ, including information regarding your student status and employment, is complete and accurate; (v) you will comply with your obligations and exercise your rights under these Terms in accordance with applicable law; and (vi) you are of legal age and you are legally capable of entering into these Terms.
14. Term and Termination
Your right to access and use a given Educational Resource begins on the date you accept these Terms. Your right of access and use automatically terminates if you violate these Terms, upon the conclusion of any applicable pilot period, or otherwise within the timeframe of which you’ve been informed. In addition, your right to access and use a given Educational Resource terminates if NAHQ’s contract with your Sponsor, pursuant to which you are permitted to access and use the Educational Resource, is terminated. In addition, NAHQ may terminate or suspend your access to the Educational Resources with or without cause, with or without notice, at any time, in its discretion. These Terms may also be terminated by NAHQ at any time in its sole discretion.
15. Governing Law and Choice of Forum; Additional Legal Provisions
Governing Law and Choice of Forum
The laws of the State of Illinois, U.S., excluding the State of Illinois’ choice of law rules, govern these Terms. You and NAHQ shall institute any action related to these Terms in the United States District Court for the Northern District of Illinois, U.S., or the Illinois state courts located in Cook County, Illinois, U.S. You submit to the exclusive jurisdiction of these courts.
Jury Trial Waiver
You hereby waive, to the extent permitted by applicable law, any right to a trial by jury, in any action between the parties related to these Terms.
Limitations Period
You must bring any claim or action against NAHQ or any of the NAHQ Persons related to these Terms, the Educational Resources, the Website, the Recordings, or NAHQ’s disclosure of your information, within one (1) year of the claim or action accruing, and you hereby waive any right to file an action under any longer statute of limitations.
Binding Effect
These Terms inure to the benefit of, and are binding on, you and NAHQ and your and NAHQ’s respective successors and permitted assigns.
Waiver and Severability
No waiver by NAHQ of any term or condition stated in these Terms is deemed a continuing waiver of a term or a waiver of any other term, and any failure of NAHQ to assert a right or provision under these Terms does not constitute a waiver of that right or provision. If a court or other tribunal having jurisdiction over a dispute between you and any NAHQ Persons determines any provision of these Terms is unenforceable under applicable law, the rest of these Terms remain in effect to the extent permitted by applicable law. In addition, as to any provision determined to be unenforceable as written in these Terms, the provision is not void, but rather the parties desire the provision be reformed and enforced by the court or other tribunal permitted under applicable law to give effect as near as possible to the original intent of the parties, as if originally accepted or agreed by you in that form.
Injunctive Relief
You acknowledge that your breach of these Terms with respect to NAHQ’s intellectual property or confidential information would give rise to irreparable harm to NAHQ for which monetary damages would not be an adequate remedy and, in the event of such a breach or a threatened breach by you of these Terms, in addition to any and all other rights and remedies that may be available to NAHQ under these Terms, at law, at equity, or otherwise, NAHQ is entitled to equitable relief, including a temporary restraining order, an injunction, and any other relief that may be available from a court having jurisdiction, without any requirement to: (i) post a bond or other security; or (ii) prove actual damages or that monetary damages will not afford an adequate remedy.
Assignment
You are not entitled to assign your rights or delegate your obligations under these Terms. To provide you with the Educational Resources, we may utilize subcontractors and outside vendors. NAHQ is entitled to assign its rights and delegate its obligations under these Terms.
Force Majeure
NAHQ is not liable for failing to satisfy any of its obligations under these Terms resulting from causes outside of its reasonable control, including but not limited to acts of God; flood, fire, or severe weather; war, invasion, hostilities, terrorist threats or acts, riot, or other civil unrest; acts of a government authority; pandemic, epidemic, or other public health emergency; or national or regional emergency.
Cumulative Remedies
NAHQ’s rights and remedies provided in these Terms are cumulative and not exclusive. NAHQ’s exercise of any right or remedy does not preclude our exercise of any other rights or remedies that may now or subsequently be available to us at law, in equity, by statute, by contract, or otherwise.
16. Educational Resource Specific Additional Terms
16.1. CPHQ Certification Examination Registration
By registering for the CPHQ examination and accepting these Terms, you acknowledge and agree to the following additional terms:
- You have read and understand the information provided in the Candidate Handbook applicable to you (US or International) on the NAHQ Website.
- You have read, understand, and abide by the codes of ethics applicable to your profession.
- You authorize the Healthcare Quality Certification Commission (HQCC) or NAHQ to make whatever inquiries they deem appropriate in their discretion to verify your credentials and professional standing.
- If you pass the examination and attain the CPHQ designation, you authorize HQCC/NAHQ to release your name and address to HQCC/NAHQ and affiliated organizations for the purpose of sending you association information. You also authorize HQCC/NAHQ permission to use your application information and subsequent examination for the purpose of statistical analysis, provided that your personal information has been deleted.
- You understand that the initial certification period is two calendar years following passing the examination, and you agree to meet the then-current requirements to maintain active certification status thereafter. HQCC has the authority to change requirements for attaining or maintaining certification from time to time.
- You understand that HQCC reserves the right to discipline you for providing false information when applying for certification or recertification. In addition, you understand that you can be disqualified from taking or continuing to sit for an examination or receiving an examination score if HQCC determines through proctor observation, statistical analysis, or otherwise, that you collaborated with other test takers or engaged in disruptive or other prohibited conduct during the administration of the examination.
- You understand that all examination questions are the copyrighted property of NAHQ. You agree that you will not reproduce, record, distribute, or display the examination questions by any means, in whole or in part. This includes posting exam questions to social media or other networking sites/internet sites. You further understand that any reproduction or display of examination questions subjects you to being ineligible for certification and liable for severe civil and criminal penalties.
16.2. NAHQ Events
By registering for an Event, such as NAHQ next or the Healthcare Quality Week, and accepting these Terms, you acknowledge and agree to the following additional terms:
- You consent to allow third-party vendors to send you sponsor materials.
- You agree to publish your contact information to your Attendee Profile on the virtual platform.
- You agree to permit NAHQ to publish your contact information (name, title, employer, city, state, and country) to a list that will be shared with event attendees.
- You shall also abide by such guidelines, rules, regulations, and directions issued by NAHQ and applicable facilities and virtual event hosting sites.
16.3. Workforce Accelerator
The following additional terms govern your use of NAHQ’s Workforce Accelerator, including its webpages, software, content, functionality, and data, including NAHQ’s Healthcare Quality Competency Framework (collectively, “Dashboard”).
1. Dashboard Composition. The Dashboard is comprised of: (i) data related to the results of NAHQ’s professional assessment questionnaire by practicing healthcare professionals employed by your Sponsor or a hospital affiliated with your Sponsor (each a “Participating Hospital”); and (ii) NAHQ’s Competency Framework, including its healthcare quality dimensions, competencies, and skills statements (“Competency Framework”).
1.2. Dashboard Access and Use Limited License. Subject to and conditioned on your acceptance and compliance with these Terms, NAHQ hereby grants you a limited, personal, non-exclusive, non-transferable, non-assignable, non-sublicensable license to access and use the Dashboard to: (i) Evaluate the healthcare quality work of your Sponsor’s personnel and any Participating Hospitals; (ii) Contribute to the preparation of the Competency Prioritization Matrix and Upskilling Roadmap, as those terms are defined in the agreement between NAHQ and your Sponsor; (iii) Temporarily store copies of the Dashboard in random-access memory (RAM) (or memory used for similar purposes) on your device, incidental to you accessing the Dashboard; (iv) Store files related to the Dashboard that are automatically cached by your web browser for display enhancement purposes; (v) Print and download a copy of the Dashboard’s contents for your individual use, for the purposes stated in Section 1.2.(i) – (ii); and (vi) Provide NAHQ with evaluations, information, input, ideas, recommendations, suggestions, and other feedback. Except as provided in this Section 1.2, you may not otherwise access or use the Dashboard.
1.3. Access and Use Restrictions. You may not: (i) Reproduce all or any part of the Dashboard, except as provided in Section 1.2; (ii) Distribute, create derivative works based upon, publicly display, publicly perform, lease, license, rent, sell, or re-sell all or any part of the Dashboard; (iii) Provide access to the Dashboard, in whole or in part to any individual or entity, including any contractor or consultant; (iv) Make the Dashboard available, in whole or in part, to any individual or entity; (v) Allow any individual or entity to use the Dashboard in whole or in part; (vi) Access or use the Dashboard to develop or assist others with the development of other goods or services or for purposes of competitive analysis; (vii) Delete or alter any copyright, trademark, or other proprietary rights notices from the Dashboard, or any copies; (viii) Circumvent any copy protection, rights management, or security features in or protecting the Dashboard; (ix) Reverse engineer, disassemble, decompile, decode, adapt, otherwise attempt to derive or gain access to the Dashboard; (x) Introduce into or activate within the Dashboard any malicious or technologically harmful material; (xi) Use any robot, spider, or other automatic means to access the Dashboard for any purpose, including monitoring or copying all or any part of the Dashboard; (xii) Access or use the Dashboard in any manner that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any individual or entity, or that violates any applicable law, regulation, or rule; (xiii) Interfere with the proper working of the Dashboard; or (xiv) Otherwise access or use the Dashboard beyond the scope of the limited access and use rights granted to you in Section 1.2, or in any manner that is inconsistent with these Terms.
1.4. Restrictions. NAHQ and the Dashboard are based in Illinois, United States. You represent and warrant that you: (i) are a practicing healthcare professional; (ii) are employed by your Sponsor; (iii) have read, understand, and will abide by these Terms; and (iv) will comply with your obligations and exercise your rights under these Terms in accordance with applicable law.
1.5. Confidentiality. The Dashboard, in any form or medium (including oral, written, or electronic) is owned by NAHQ and considered NAHQ’s confidential information. Without limiting the access and use restrictions stated in Section 2 of these Terms, you shall: (i) treat the Dashboard, in whole and in part, as strictly confidential; and (ii) not access, use, or disclose the Dashboard except as expressly permitted by Section 1.2.
